Terms and conditions of sale

The general framework applicable to website creation, publication and maintenance services supplied by Noxaryn to professional customers.

Scope

These terms and conditions of sale govern Noxaryn services supplied to professional customers. They apply subject to any specific terms stated in the order summary, quotation or other written agreement accepted by the parties.

Services

Depending on the selected plan, Noxaryn designs and launches a website, integrates content supplied by the client, prepares publication and provides the recurring services stated in the plan. Features not expressly included require a separate agreement.

Order and contract formation

Submitting a project on noxaryn.org records a request. Until online payments are enabled, no amount is collected through the website and recording a project does not, by itself, constitute final confirmation of the service. The contract is formed through the validation and payment process communicated to the customer.

Prices

Applicable prices are those presented to the customer at the time of ordering or in the accepted quotation. Setup fees are charged once; the recurring subscription corresponds to the monthly services described in the selected plan. VAT treatment, net/gross tax wording and any applicable tax must be stated on the commercial document and invoice according to the publisher’s tax status.

Payment and late payment

Payment methods and due dates are stated before the order is concluded. Between businesses, late payment may automatically give rise, without prior reminder, to penalties calculated at a rate at least equal to three times the French statutory interest rate, together with the statutory fixed recovery fee of €40, without prejudice to additional compensation where actual recovery costs are higher.

Start and delivery times

Work begins after the required information has been validated and, where an initial payment is required, after that payment has been confirmed. Delivery times depend in particular on receiving the texts, photos, menus, contact details and approvals required. Any delay by the customer in providing these materials shifts the schedule accordingly.

Customer responsibilities

  • Provide accurate information and the required content in a usable format.
  • Hold the necessary rights to all texts, trademarks, logos, photographs and other content supplied.
  • Review and approve essential information before publication.
  • Promptly report any error or required change.

Subscription, changes and termination

The subscription covers the services stated in the selected plan, including hosting, domain services, maintenance and changes falling within the stated scope. The term, effective date, any request limits and termination conditions are specified in the order summary or accepted quotation. Out-of-scope requests may require an additional quotation.

Intellectual property and content

The customer remains the owner of content they provide. Rights to use or transfer Noxaryn creations, the delivered website, templates and reusable elements are defined by the applicable plan or contract. Noxaryn components, methods, templates and generic elements are not transferred to the customer unless otherwise agreed in writing.

Liability

Each party is responsible for direct losses resulting from its breach within the limits permitted by law and any specific agreed terms. Noxaryn is not responsible for content supplied by the customer, inaccurate commercial information approved by the customer, downtime attributable to a third-party provider, or events reasonably beyond its control.

Force majeure

Neither party is liable for a failure directly caused by a force majeure event within the meaning of French law. The affected party must inform the other within a reasonable period and affected obligations are suspended for the duration of the event where permitted by law.

Complaints and disputes

Any complaint should first be sent to hello@noxaryn.org so that an amicable solution can be sought. These terms are governed by French law. If no amicable solution is reached, the dispute falls within the jurisdiction of the competent courts under the applicable procedural rules. Noxaryn currently targets professional customers; if an offer is later made available to consumers, mandatory consumer-law information and the details of the competent consumer mediator must be added before entering into any consumer contract.
